Terms of Service

1. Introduction

These Terms of Service govern your use of the Marillion Solar platform operated by MarillionEX ("Marillion", "we", "us", "our"). By registering an account or using the platform, you agree to these terms. If you do not agree, do not use the platform.

2. The Service

Marillion Solar is a distributed renewable energy registration and carbon credit aggregation platform. The platform allows users to register solar panel and solar geyser installations, verify their location and system details, estimate carbon savings, and participate in the Marillion Diamond Standard carbon credit portfolio.

3. Account Registration

1. 3.1You must provide accurate and complete information when creating an account.
2. 3.2You are responsible for maintaining the security of your account credentials.
3. 3.3You must be at least 18 years old to register.
4. 3.4One account per person. Duplicate accounts may be terminated.
5. 3.5Business accounts must be registered by an authorised representative of the business.

4. Registration Fees and Subscriptions

1. 4.1A one-time registration fee is charged per installation. Fees vary by region and are displayed during registration.
2. 4.2Optional subscription plans provide access to additional features. Subscription fees are billed monthly or annually as selected.
3. 4.3Registration fees are non-refundable once your installation has been submitted for verification.
4. 4.4Subscription fees are non-refundable for the current billing period. You may cancel at any time and your subscription will remain active until the end of the current period.
5. 4.5Marillion reserves the right to change pricing with 30 days written notice to existing subscribers.

5. Installation Registration and Verification

1. 5.1You must register only installations that you own or are authorised to register.
2. 5.2All information provided must be accurate and truthful. Providing false information is grounds for immediate account termination.
3. 5.3GPS coordinates must accurately reflect the physical location of the installation.
4. 5.4Uploaded photographs must show the actual installation being registered.
5. 5.5Marillion will verify installations using satellite imagery, uploaded documentation, and system specifications. Marillion reserves the right to reject any installation that cannot be verified.
6. 5.6Verification decisions are at Marillion's sole discretion. Rejected installations may be resubmitted with corrected information.

6. Carbon Credits and Calculations

1. 6.1Carbon savings estimates are calculated using system specifications, location-based solar resource data, country-specific grid emission factors, a performance ratio of 0.75, and a 10% integrity margin.
2. 6.2Estimates are indicative only. Actual energy generation and carbon savings may differ from estimates.
3. 6.3Registration of an installation does NOT guarantee the formal issuance of carbon credits. Formal credit issuance is subject to verification, methodology approval, and applicable carbon market regulations.
4. 6.4Marillion uses conservative calculation methods designed to ensure credits are never overestimated.
5. 6.5Each installation generates one stream of carbon credits based on avoided emissions. Marillion does not permit double-counting of credits from a single installation.

7. Revenue Sharing and Payouts

1. 7.1Revenue sharing percentages vary by account type and region. Your applicable share is displayed on your dashboard and at the time of registration.
2. 7.2Revenue is generated only when carbon credits are actually sold through the Marillion Diamond Exchange. Estimated credit values on your dashboard do not constitute guaranteed income.
3. 7.3Payouts are processed quarterly, subject to a minimum balance threshold of $10 USD.
4. 7.4Payout methods include bank transfer, mobile money, and PayPal, subject to availability in your country.
5. 7.5Marillion deducts applicable transaction fees and commissions before calculating your share.
6. 7.6You are responsible for any taxes applicable to income received from carbon credit revenue sharing in your jurisdiction.

8. Intellectual Property

1. 8.1The Marillion Solar platform, Marillion Diamond Standard, Diamond Exchange, and all associated branding, content, and technology are the property of MarillionEX.
2. 8.2You retain ownership of photographs and documents you upload. By uploading, you grant Marillion a licence to use these materials for verification, portfolio reporting, and marketing purposes.

9. Data and Privacy

1. 9.1Your use of the platform is subject to our Privacy Policy.
2. 9.2By registering, you consent to the collection and processing of your personal data, GPS location, and installation data as described in the Privacy Policy.

10. Prohibited Conduct

You may not:

1. 10.1Register installations you do not own or are not authorised to register.
2. 10.2Provide false, misleading, or fraudulent information.
3. 10.3Register the same installation more than once.
4. 10.4Attempt to manipulate carbon savings calculations.
5. 10.5Use the platform for money laundering or any illegal purpose.
6. 10.6Resell or transfer your account or credits outside the Marillion Diamond Exchange without written permission.
7. 10.7Scrape, copy, or reverse-engineer the platform.

11. Termination

1. 11.1You may close your account at any time by contacting support@marillionex.com. Outstanding balances above $10 will be paid out within 60 days.
2. 11.2Marillion may suspend or terminate accounts that violate these terms, provide fraudulent information, or engage in prohibited conduct.
3. 11.3Upon termination, your installations will be removed from the active portfolio. Accrued but unpaid earnings above $10 will be paid out within 60 days.

12. Disclaimers

1. 12.1Carbon savings estimates are provided on an "as-is" basis and do not constitute financial, investment, or environmental advice.
2. 12.2Marillion does not guarantee any specific level of income from carbon credit revenue sharing.
3. 12.3Carbon credit market prices fluctuate and past prices do not guarantee future values.
4. 12.4Marillion is not responsible for changes in government regulations, carbon market rules, or emission factor data that may affect credit values.
5. 12.5The platform may experience downtime for maintenance or technical issues. Marillion is not liable for temporary service interruptions.

13. Limitation of Liability

1. 13.1To the maximum extent permitted by law, Marillion's total liability for any claim arising from your use of the platform is limited to the total fees you have paid to Marillion in the 12 months preceding the claim.
2. 13.2Marillion is not liable for indirect, incidental, consequential, or punitive damages.

14. Governing Law

These terms are governed by the laws of the United Kingdom. Any disputes shall be resolved through arbitration in London, United Kingdom.

15. Changes to Terms

Marillion may update these terms at any time. Material changes will be communicated by email at least 30 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance.
